Well, it can't be power if it still shuts down without the Graphics card; 500W is overkill in the extreme for a CPU, 1 stick of RAM and a floppy.
Right, um....try taking out the CMOS battery, and reseting the CMOS. (Look in your mobo manual for more info.)

yeah that is true. could this be aproblem if maybe i had scratched the mobo or cpu when installing it? i dont think i did but there is always a possibility.

A damaged mobo capacitor could cause it to be unstable, so could a damaged CPU pin.
Try the CMOS reset, then we'll go from there.

i cleared cmos memory and tried again. no luck, it turned off again

Hm...really we need to see what's happening on the monitor. Try putting everything back, then restarting with the Windows media in the drive. It's a long shot, but the mobo may only display the POST screen for a certain amount of time before shutting down.

Try using the 8 pin connector i think its better to as the quad will suck down quite a bit of power unless its the new GO stepping ones, that's what i am using and its fine...
All 9 mobo stand offs in there? you have to screw 2-3 in yourself or at least i did.
