Vegas is a great game especially for the online. The campaign isn't too bad either.

I honestly don't think you can really compare the two. They both have different Style of playing. GRAW 2 is an outside fighting in the terrain game you have to rely on the hills and rocks for cover. Vegas is a "S.W.A.T" based game. tactics are needed and its door to door combat. I believe the games were made to give people a little taste of both. There both good games IMO.
